Terms of Service - Midwest Digital Solutions LLC

1. Agreement to Terms

By engaging the digital marketing services of Midwest Digital Solutions LLC ("Company," "we," "us"), you ("Client," "you") agree to be bound by these Terms of Service. These terms govern the relationship between you and the Company and the provision of all services outlined in our service agreement or statement of work.

2. Provision of Digital Marketing Services

Midwest Digital Solutions LLC agrees to provide the Client with professional digital marketing services as detailed in the mutually agreed-upon proposal or contract. Services may include, but are not limited to, Search Engine Optimization (SEO), Pay-Per-Click (PPC) advertising, Social Media Marketing (SMM), and Content Marketing.

The specific scope, deliverables, and timelines for the services will be outlined in a separate Statement of Work (SOW). The SOW will be considered an integral part of this agreement.

3. Payment Terms

The Client agrees to compensate Midwest Digital Solutions LLC for the services rendered according to the payment schedule outlined in the SOW. Payments are typically due in advance of each service period (e.g., monthly retainer).

All advertising spend (e.g., for Google Ads, Facebook Ads) is a separate cost and is payable directly by the Client to the respective ad platform, unless otherwise agreed in writing. Late payments may result in a suspension of services and/or incur late fees as specified in the SOW.

4. Client Obligations

The Client agrees to cooperate with Midwest Digital Solutions LLC by providing timely access to necessary information, data, and digital assets required for the execution of the services. This includes access to website backends, analytics accounts, ad accounts, and brand guidelines. Delays in providing this information may impact project timelines and results.

5. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the term of this agreement. This includes business strategies, client lists, and performance data. This obligation of confidentiality shall survive the termination of this agreement.

6. Limitation of Liability

While Midwest Digital Solutions LLC strives to provide the highest quality services and achieve the best possible results, we do not guarantee specific outcomes, rankings, or return on investment (ROI). The digital marketing landscape is dynamic and subject to factors beyond our control. In no event shall Midwest Digital Solutions LLC be liable for any indirect, incidental, or consequential damages arising from the use of our services.

7. Term and Termination

The term of this agreement will be specified in the SOW. Either party may terminate the agreement with a written notice period as defined in the SOW. Upon termination, the Client is responsible for paying for all services rendered up to the effective date of termination.

8. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the jurisdiction in which Midwest Digital Solutions LLC is registered, without regard to its conflict of law principles.
